HomeMy WebLinkAbout2009 03 09 Consent 205 Amendment 15 to CPH EngineersCOMMISSION AGENDA CONSENT I X INFORMATIONAL ITEM 2 0 5 PUBLIC HEARING REGULAR March 9, 2009 Meeting /DEPT REQUEST: Utility Department Requesting the City Commission Approve Amendment 15 to the Consulting Engineering Services with CPH Engineers, Inc. for the Design of the Lake Jesup Water Augmentation Facility PURPOSE: The purpose of this agenda item is for the City Commission to Approve Amendment 15 to the Consulting Engineering Services with CPH Engineers, Inc. for the Design of the Lake Jesup Water Augmentation Facility at a cost of $196,036 payable from the Utility Construction Fund. CONSIDERATIONS: This agenda item is needed to proceed with the final engineering design of the Reclaimed Water Augmentation Facility at Lake Jesup. The long term goal of the city is to discontinue any irrigation with potable groundwater. In order to maximize and expand the use of the City's reclaimed water, it is necessary to augment the reclaimed water system. The close proximity to Lake Jesup provides a unique opportunity to augment the reclaimed water system with a lower quality source so all property owners would use some combination of reclaimed water and/or surface water in lieu of the higher quality groundwater. In 2007, the City received a 20 year permit from the St. Johns River Water Management District for withdrawals of surface water from Lake Jesup. On January 26, 2009, the Commission chose the Enhanced Environmental Option from the Preliminary Design Report which minimized the site footprint at the Lake Jesup shorefront by shifting the 2 million gallon storage tank to the spray fields west of Oak Forest. The detailed scope of work in covered in the attached amendment but generally includes; civil engineering design, electrical engineering design, surveying, geotechnical engineering, FDEP construction permit application, Environmental Resource Permit FDEP/Army Corps of Engineers (pier) application, and assistance in application with State Revolving Loan Fund. The cost for this scope is $196,036 which is 6.4% of construction, below the industry standard of 8 to 10°/a. Included in the fee is $15,284 for the lift station design to capture the Pazkstone artesian well flow. This is listed separately because it will require approval and some form of agreement with the Parkstone HOA which may have a different timeline. FUNDING: Sufficient funds are available in the Utility 2000 Construction Fund for the design cost of $196,036 in line code 3640-65000-30043. The entire Phase One is projected to cost about $9.1 million over the next 3 years -$3.1 M for this treatment and storage facility and $6M for expanding the reclaimed water distribution to 3,100 residences. CPH will be assisting staff in pursuing funds from the State Revolving Loan Fund initially. The issuance of bonds to cover the capital funds is part of the scope of the ongoing rate study which Staff expects to be ready for the Commission to consider alternatives at a workshop sometime in April. 030909_COMM_Consent_205_CPH_Amendment_15_Reclaimed_Water_Augnentation_Final_Enginee�ing March 9, 2009 Consent Agenda Item 205 Page 3 RECOMMENDATION: Staff recommends the Commission Approve Amendment 15 to the Consulting Engineering Services with CPH Engineers, Inc. for the Design of the Lake Jesup Water Augmentation Facility at a cost of $196,036 payable from the Utility 2000 Construction Fund line code 3640-65000-30043. IMPLEMENTATION SCHEDULE: Barring any unforeseen permitting issues, the design should be complete within six months of authorization. ATTACHMENTS: 1. I:~Z6i82\Prupo,alsV\4~intrr Springs\Rcclaimcd Prupusnls~AML:ND I ~ trcaunrnt tacilily dcsi~n Inr auemcnta~iun.doc SECTION 1 GENERAL 1.1 The purpose of this Amendment is to provide for Engineering Services, more specifically itemized herein, in the preparation of contract documents for the Lake Jesup Water Augmentation Facility including the treatment system and storage at the Lake Jesup site; offsite storage and pumping at the Oak Forest site; and, the lift station at the artesian well site and piping to the Lake Jesup treatment site. SECTION 2 SCOPE OF SERVICES 2.1 General The OWNER hereby authorizes the ENGINEER to proceed with the preparation of the plans and permit applications necessary to achieve approval and to perform construction. This will be considered to be one project, combining the three locations and systems into one set of drawings. The general sheets of the package will include a single cover sheet with location map(s); general notes and legend sheet; key map sheet and standard details sheets (two assumed). Instrumentation will be provided as a performance specification and we will meet with the City's supplier to make sure they understand the project and the control requirements. We will not provide a design of the control systems. The City's supplier will provide detailed shop drawings for the equipment that they will supply to make the system operational in accordance with the City's requirements. 2.2 Artesian Well a) Gather and review available data on the existing area. Perform site visit to evaluate existing conditions. b) Provide a survey from the artesian well location to the Lake Jesup treatment facility site. See Exhibit A. City will provide the survey for the Lake Jesup treatment facility site. c) Design an in-line submersible lift station to transfer the water from this flowing well to the treatment site on Lake Jesup. The artesian flow will be routed to the lift station and either flow through the lift station to Lake Jesup or the flow will be pumped to the treatment facility site or a combination of both may occur. Jesup. The pumping system will be designed to transfer flow to the storage tank at the treatment facility site. The artesian well water may be blended with the augmentation water and distribution will occur from the Lake Jesup storage tank. The lift station will be provided with the standard controls of a standard duplex type lift station and meet the SCADA standards of the City. The lift station will utilize low service/low head pumps. No direct distribution of irrigation quality water will be provided from this station. This allows the City to keep track of the quantity and quality of the water before distribution. d) Metering devices will be placed at two locations on the station to measure the flow being pumped to the Lake Jesup treatment facility and to measure the flow to Lake Jesup in accordance with SJRWMD requirements and the CUP. e) Based on preliminary engineering previously reviewed and approved, we will prepare 60%, 90% and final design layout/drawingsaad submit seven (7) sets for review. Sheets to include the following: Plan sheets (double plan and profile format) 1 inch equals 30 foot scale (2300 lineal feet of pipeline route is equivalent to approximately 2 sheets). • Lift station design (use City standard); includes electrical design • All specifications to be contained on the plans for this lift station. f) This task has been shown separately and can be authorized separately. 2.3 Oak Forest Storage and Pumping a) A two (2) million gallon ground storage tank will be placed on the Oak Forest spray field site. b) The City will provide a survey of the Oak Forest site. c) The system shall be designed as a booster pumping station system. The design approach will include at a minimum the following criteria: • Location of pressure reducing/sustaining valve for filling the tank. • Three variable speed booster pumps; 1 -500 gpm; 2 -1200 gpm; exterior can turbines; with room for two future 1200 gpm pumps • Small masonry block building with HVAC as required forthe electrical systems and controls • Reclaimed Distribution system tie-in locations • Portable generator tie-in capability (no permanent generator will be installed) • No disinfection facilities will be provided at this facility as they are not .I.V.6>R21Proposals\1~'inlci Springs',Reclaimed Proposals\A~11_.NI) l i treaunent facility design liar augmentaiiun doc required for the re-pump facility. Reclaimed distribution system manual valuing (with electric operators) to allow the operation of the system with either the east or west systems in case one system is down or the option to feed from one system to the other. The preliminary site improvements include a stabilized access road and parking, stormwater system, fencing, security features and signage, work pads, seeding and mulching, and final site restoration. d) The GST will fill during low system demand periods, and shall be used to boost pressures during peak demand hours. Controls will be established to allow the system to be remotely monitored and controlled via the City's existing SCADA system. The water level in the tank will be measured with a level transducer and have aback-up float system for high and low water levels. Integrated into the controls will be electric operated and control valves as follows: Fill valve (control valve) on the piping to the GST is to be operated via pressure regulating/sustaining valve that will open at a set pressure. The pressure setting will be determined by the City. Fill valve on the piping to the GST to be closed once tank has been filled and/or during high flow demand periods (peak flow conditions) when booster pumps are in operation. Electric operated shut-off valves as required to isolate tanks and systems (East versus West reclaimed systems) e) The Engineer will retain the services of an electrical engineer to perform electrical design. f) The Engineer will retain the services of geotechnical professional to perform soils testing and foundation design for the tank. g) Based on preliminary engineering previously reviewed and approved, we will prepare 60%, 90% and final design layout/drawings and submit seven (7) sets for review. Sheets to include the following: • Site Plan including tank, building, grading and piping. The site plan will only cover the portion of the property used for these improvements. • Electrical/Control Building with details. • Storage tank (Prestressed Concrete) details (2 sheets). Tank shall be designed to be recessed into the ground with the top serving as a park amenity as a deck overlooking the lake. An Actiflo treatment facility will be designed for the treatment of Lake Jesup water. Provision will be provided in the design to add filtration units if required in the future. An intake walkway structure will be designed for the facility. A pavilion will be placed at the end of the walkway over the intake structure. A covered pavilion area will also be designed for the top of the storage tank. The top of the tank will be useable by the public as an observation deck, etc. b) The City will provide a survey of the Lake Jesup site. We will supplement this survey with a survey of the lake bottom for a distance of approximately 150 feet perpendicular to the shoreline and be about 30 feet wide. c) The system shall be designed as a treatment and pumping facility. The design approach will include at a minimum the following criteria: • Three variable speed booster pumps; 1 -500 gpm; 2 -1200 gpm; exterior can turbines; with room to accommodate two future 1200 gpm pumps • Small masonry block building with HVAC as required forthe electrical systems and controls connected to the storage tank. • Distribution system tie-in locations • Portable generator tie-in capability (no permanent generator will be installed) • Disinfection facilities will be provided as they are required for the surface water treatment source. • The preliminary site improvements include a stabilized access road and parking, stormwater system, fencing, security features and signage, work pads, seeding and mulching, and final site restoration. d) The GST will fill during treatment operation, and shall be used as part of the distribution system during "augmentation" times of the year, i.e. dry periods. Controls will be established to allow the system to be remotely monitored and controlled via the City's existing SCADA system. The water level in the tank will be measured with a level transducer and have a back- up float system for high and low water levels. e) The Engineer will retain the services of an electrical engineer to perform electrical design. The site plan will only cover the portion of the property used for these improvements. • Treatment site plan for a detailed view of the treatment storage and pumping facilities. • Barscreen structure as may be required by the Actiflo system. • Augmentation lift station and details (submersible pump station) • Actiflo system (3 sheets) • Storage tank (2 sheets) • Electrical/Control/Chemical Building with details. • Pump details with piping (match Oak Forest pumps). 2.5 Permitting a) Obtain a permit from FDEP for the treatment and augmentation system. A WRF permit modification is required in accordance with: "62-610.472 Supplemental Water Supplies. (1) Rule 62-610.472, F.A.C., applies to projects for which complete permit applications involving the use of supplemental water supplies were received by the Department on or after [effective date]. Rule 62-610.472, F.A.C., shall also apply to any existing reuse system which proposes to add a new supplemental water supply or to expand the facilities, structures, or pumps used for an existing supplemental water supply; however, these rule requirements shall only apply to the expanded or modified portion of the project. Incorporation of a supplemental water supply into the reuse system shall require a permit modification. We can decide which permit will be modified. All aspects of the project will be under one permit modification. b) Obtain an Environmental Resource Permit (ERP) for the intake structure/walkway structure from FDEP (Joint permit with Army Corps of Engineers). This project is a wastewater project and the stormwater and dredge and fill activities will be permitted by FDEP under the ERP. c) Submit the required documents to the City of Winter Springs Development Review and attend the meeting of the DRC of the City of Winter Springs. d) OWNER will pay any and all permit fees directly to the agency(ies). e) Submit a Request for Inclusion to the State FDEP SRF program. The artesian well is a separate Task with a lump sum cost of 15 284. The ENGINEER agrees to prosecute the work in a timely manner until the Project is completed. This proposal outlines our understanding of the project, presents a recommended scope of services, and contains a time and cos[ estimate for providing those services. SITE AND PROJECT DESCRIP"PION The proposed development for this project is divided between two separate sites in Winter Springs, Seminole County, Florida: Lake Jesup Intake site, located near the northern end of Wagner Point Road, north of State Road 434. Lake Jesup is adjacent to this srte ro the north. Oak Forest site, located at an existing municipal spray field located directly west of the Oak Forest residential development. This site is located approximately 1.5 miles south of the Lake Jesup Intake site. CPH Engineers, Inc. Nodarse & Associates, Inc. Project No. 01-09-0088-101 Page 2 Based upon information provided by you, it is our understanding that proposed development consists of the following: Lake Jesun Intake site: A concrete storage tank, pumps, and Actiflo tanks. The collective area of these structures is about 80 feet by 100 feet. The concrete taiilc is about 10 feet high and embedded 1 to 4 feet. The Actiflo talks are about 10 feel high and embedded 2 to 3 feet. Additionally, a wet well is proposed near an existing artesian source in the Parkstone subdivision. (yak Frn~est site: - One cylindrical Crom storage tank, with a liquid capacity of 2.5 million gallons. The tank will have a diameter of approximately 155 feet and a liquid height of at least 26 feet. - One concrete-block single-story building, about 10 feet by 20 feet, for electrical utilities. Based on review of ground surface elevations and the elevations of the piezometric surface of the I=loridian aquifer, as shown on USGS and S.IRWMD maps, artesian conditions may be encountered during drilling operations at the project sites. As a result, ow• scope of services includes grout and casing that are anticipated to be necessary should artesian conditions develop dw•ing drilling. PROPOSED SCOFF, OF SrRVICCS The proposed scope of services is based on tl~e urformation provided, our understanding of the proposed development and our experience in the subject area and similar projects. Our exp]oration is planned to consist of the following: o Coordination of utilities and staking boring locations at the sites. Mobilize mud bug mounted rotary drilling equipment to the sites. Laboratory testing will include consolidation, grain size analysis and Atterberg limits tests to verify visual classification of soil types. The exploration will be supervised by a qualiried Geotechnical Engineer registered in the state of Florida and the results of the exploration will be presented in a combined geotechnical engineering report for both sites. SECTION 2 SCOPE OF SERVICES 2.1 General The OWNER hereby authorizes the ENGINEER to proceed with the preparation of the plans and permit applications necessary to achieve approval and to perform construction. This will be considered to be one project, combining the three locations and systems into one set of drawings. The general sheets of the package will include a single cover sheet with location map(s); general notes and legend sheet; key map sheet and standard details sheets (two assumed). Instrumentation will be provided as a performance specification and we will meet with the City's supplier to make sure they understand the project and the control requirements. We will not provide a design of the control systems. The City's supplier will provide detailed shop drawings for the equipment that they will supply to make the system operational in accordance with the City's requirements. 2,2 Artesian Well a) Gather and review available data on the existing area. Perform site visit to evaluate existing conditions. b) Provide a survey from the artesian well location to the Lake Jesup treatment facility site. See Exhibit A. City will provide the survey for the Lake Jesup treatment facility site. c) Design an in-line submersible lift station to transfer the water from this flowing well to the treatment site on Lake Jesup. The artesian flow will be routed to the lift station and either flow through the lift station to Lake Jesup or the flowwill be pumped to the treatment facility site or a combination of both may occur. The pumping system will be designed to transfer flow to the storage tank at the treatment facility site. The artesian well water may be blended with the augmentation water and distribution will occur from the Lake Jesup storage tank. The lift station will be provided with the standard controls of a standard duplex type lift station and meet the SCADA standards of the City. The lift station will utilize low service/low head pumps. No direct distribution of irrigation quality water will be provided from this station. This allows the City to keep track of the quantity and quality of the water before distribution. d) Metering devices will be placed at two locations on the station to measure the flow being pumped to the Lake Jesup treatment facility and to measure the flow to Lake Jesup in accordance with SJRWMD requirements and the CUP. e) Based on preliminary engineering previously reviewed and approved, we will prepare 60%, 90% and final design layout/drawings and submit seven (7} sets for review. Sheets to include the following: • Plan sheets (double plan and profile format)1 inch equals 30 foot scale (2300 lineal feet of pipeline route is equivalent to approximately 2 sheets). • Lift station design (use City standard}; includes electrical design • All specifications to be contained on the plans for this lift station. f) This task has been shown separately and can be authorized separately. 2.3 Oak Forest Storage and Pumping a) A two (2) million gallon ground storage tank will be placed on the Oak Forest spray field site. b) The City will provide a survey of the Oak Forest site. c) The system shall be designed as a booster pumping station system. The preliminary site improvements include a stabilized access road and parking, stormwater system, fencing, security features and signage, work pads, seeding and mulching, and final site restoration. d) The GST will fill during low system demand periods, and shall be used to boost pressures during peak demand hours. Controls will be established to allow the system to be remotely monitored and controlled via the City's existing SCADA system. The water level in the tank will be measured with a level transducer and have aback-up float system for high and low water levels. Integrated into the controls will be electric operated and control valves as follows: Fill valve (control valve) on the piping to the GST is to be operated via pressure regulating/sustaining valve that will open at a set pressure. The pressure setting will be determined by the City. Fill valve on the piping to the GST to be closed once tank has been filled and/or during high flow demand periods (peak flow conditions) when booster pumps are in operation. Electric operated shut-off valves as required to isolate tanks and systems (East versus West reclaimed systems) e) The Engineer will retain the services of an electrical engineer to perform electrical design. f) The Engineer will retain the services of geotechnical professional to perform soils testing and foundation design for the tank. g) Based on preliminary engineering previously reviewed and approved, we will prepare 60%, 90% and final design layout/drawingsavd submit seven (7) sets for review. Sheets to include the following: • Site Plan including tank, building, grading and piping. The site plan will only cover the portion of the property used for these improvements. • Electrical/Control Building with details. • Storage tank (Prestressed Concrete) details (2 sheets). Tank shall be designed to be recessed into the ground with the top serving as a park amenity as a deck overlooking the lake. An Actiflo treatment facility will be designed for the treatment of Lake Jesup water. Provision will be provided in the design to add filtration units if required in the future. An intake walkway structure will be designed for the facility. A pavilion will be placed at the end of the walkway over the intake structure. A covered pavilion area will also be designed for the top of the storage tank. The top of the tank will be useable by the public as an observation deck, etc. b) The City will provide a survey of the Lake Jesup site. We will supplement this survey with a survey of the lake bottom for a distance of approximately 150 feet perpendicular to the shoreline and be about 30 feet wide. c) The system shall be designed as a treatment and pumping facility. The design approach will include at a minimum the following criteria: • Three variable speed booster pumps; 1 -500 gpm; 2 -1200 gpm; exterior can turbines; with room to accommodate two future 1200 gpm pumps • Small masonry block building with HVAC as required forthe electrical systems and controls connected to the storage tank. • Distribution system tie-in locations • Portable generator tie-in capability (no permanent generator will be installed) • Disinfection facilities will be provided as they are required for the surface water treatment source. • The preliminary site improvements include a stabilized access road and parking, stormwater system, fencing, security features and signage, work pads, seeding and mulching, and final site restoration. d) The GST will fill during treatment operation, and shalt be used as part of the distribution system during "augmentation" times of the year, i.e. dry periods. Controls will be established to allow the system to be remotely monitored and controlled via the City's existing SCADA system. A WRF permit modification is required in accordance with: "62-610.472 Supplemental Water Supplies. (1) Rule 62-610.472, F.A.C., applies to projects for which complete permit applications involving the use of supplemental water supplies were received by the Department on or after [effective date]. Rule 62-610.472, F.A.C., shall also apply to any existing reuse system which proposes to add a new supplemental water supply or to expand the facilities, structures, or pumps used for an existing supplemental water supply; however, these rule requirements shall only apply to the expanded or modified portion of the project. Incorporation of a supplemental water supply into the reuse system shall require a permit modification. (N&A) is pleased to present this proposal for performing a subsurface exploration and geoteclrtiical engineering evaluation for the above-referenced project. The purpose of the exploration is to obtain geotechnical engineering data to assist in the design and construction of structures for the above referenced project. Phis proposal outlines our understanding of the project, presents a recommended scope of services, and contains a time and cost estimate for providing those services. SITE AND PROJECT DESCRIPTION The proposed development for this project is divided between two separate sites in Winter Springs, Seminole County, Florida: - Lake Jesup Intake site, located near the northern end of Wagner Point Raad, north of State Road 434. Lake Jesup is adjacent to this site to the north. - Oak Forest site, located at an existing municipal spray field located directly west of the Oak Forest residential development. This site is located approximately 1.5 miles south of the Lake Jesup Intake site. CPH Engineers, Inc. Nodarse & Associates, Inc. Project No. 01-09-0088-101 Page 2 Based upon information provided by you, it is our understanding that proposed development consists of the following: Lake Jesup Intake site: - A concrete storage tan}:, pumps, and Actiflo tanks. The collective area of these structures is about 80 feet by 100 feet. The concrete tank is about 10 feet ltigh and embedded 1 to 4 feet. The Actiflo tanks are about 10 feet high and embedded 2 to 3 feet. - Additionally, a wet well is proposed near an existing artesian source in the Parkstone subdivision. Oak Forest site: - One cylindrical Crom storage tank, with a liquid capacity of 2.5 million gallons. The tank will have a diameter of approximately 155 feet and a liquid height of at least 26 feet. - One concrete-block single-story building, about 10 feet by 20 feet, for electrical utilities. Based on review of ground surface elevations and the elevations of the piezometric surface of the Floridian aquifer, as shown on USGS and SJItWMD maps, artesian conditions may be encountered during drilling operations at the project sites. As a result, our scope of services includes grout and casing that are anticipated to be necessary should artesian conditions develop during drilling. PROPOSED SCOPE OF SERVICES The proposed scope of services is based on the information provided, our understanding of the proposed development and our experience in the subject area and similar projects. Our exploration is planned to consist of the following: • Coordination of utilities and staking boring locations at the sites. Mobilize mud bug mounted rotary drilling equipment to the sites. Project No. 01-09-0088-101 Page 3 • At the Lake Jesup Intake site: - Perform one (1) Standard Penetration Test (SPT) borings to a depth of 80 feet and three (3) to 25 feet in the storage tank, Actiflo tanks, and pump area, - Perform one (1) SPT boring to a depth of 25 feel in the proposed area of the wet well in the Parkstone subdivision. • At the Oak Forest site: - Perform one (1) SPT boring to a depth of 125 feet and three (3) SPT borings to a depth of 50 feet within the footprint of the proposed Crom tank. - Perform one (1) SPT boring to a depth of 20 feet within the footprint of the proposed electrical building. • Perform visual classification and required laboratory testing of the soil samples obtained front the borings. Laboratory testing will include consolidation, grain size analysis and Atterberg knits tests to verify visual classification of soil types. The exploration will be supervised by a qualified Geoteclmical Engineer registered in the slate of Florida and the results of the exploration will be presented in a combined geotechnical engineering report for both sites. This report will specifically offer reconunendations on the following items: • Existing site conditions. • Exploration, testing and sampling methods. • Subsurface soil conditions encountered and soil classifications. • Depth to groundwater at the time of the exploration and estimated seasonal high groundwater levels. • Foundation design recommendations for the proposed structures. • Discussion of general site preparation techniques. PROJECT SCHEDULE Based on our present schedule, we are prepared to mobilize to begin the field operations for this project within about five (5) to ten (10) business days of your written authorization to proceed. VJe anticipate the field portion of the study to be completed in four (4) to five (5) days. Engineering analysis, necessary laboratory work, and report preparation should be completed within approximately one (1) to two (2) weeks after the completion of field work. CPH Engineers, Inc. Actual quantifier used may vary from this estimate, The final cost of services will be computed from actual units of work performed in accordance with this Scope of Services and Fee Estimate. In computing this budget figure we have assumed the site is accessible to our mudbug mounted drilling equipment, that we have right of entry to the site, and that we will not experience excessive delays due to rubble at borehole ]ocatio~is or for other reasons beyond our control. If such conditions are encountered that could cause the cost of the exploration to exceed the budget figure, we will notify the client and obtain approval for the additional work before we proceed. (hereinafter referred to as "NSA") shall include said company, or its particular division, subsidiary or affiliate performing the work. "1Vork" means the specific geotechnical, analytical, testing or other sen~iee to be performed by NSA as set forth in NSA's proposal, the Client's acceptance thereof, both incorporated herein by this reference, and these General Conditions. "Client" refers to the person or business entity ordering the work to be done by NSA. If the client is ordering the work on behalf of another, the Client represents and warrants that the Client is the duly authorized agent of said party for the purpose of ordering and directing said work. Further, Client shall disclose any such agency relationship to NSA in writing before the commencement of NSA's work hereunder. Unless otherwise stated in writing, the client assumes sole responsibility for reasonably determining whether the quantity and the nature of the work ordered by the Client are reasonably adequate and sufficient for the Client's intended purpose. Client shall communicate these General Conditions to each and ever)- t)tird party to whom the Client transmits any part of N~`;A's work. NScr\'s work is for the exclusive use of Client, and its properly disclosed principal. In no event shall NSeA have any duty or obligation to arty third party. Further, should Client direct or allow NSA to proceed with the work before executing and retuning NSA's proposal, Client hereby irrevocably agrees to be bound by NSA's proposal and these General Conditions. 2. TESTS AND INSPECTIONS: Client shall cause all tests and inspections of the site, materials and +vork performed by NSA or others to be timely and properly performed in accordance with the plans, specifications and contract documents, and NSA's recommendations. NS~1 shall nut be liable for any claims far loss, damage or injury by Client or any third party unless all tests and inspections have been so pcrfonled and unless NSA's rccommcndations have been followed by Client. in the event that all such tests and inspections arc not so perfonncd or NSA's recommendations are not so followed, Client agrees to indemnify, defend and hold NSA, its officers, employees, and agents harmless from any and all claims, suits, losses, costs and expenses, including, but not limited to, court costs and reasonable attorney's fees arising aut of the failure to perform such tests and inspections or to follow NSA's recommendations except to the extent that such failure is the result of the negligence, willful or wanton act or omission of N~~A, its officers, agents or employees. 3. As a result, Client agrees that NSA's +vork is not subject to any project or construction schedule. 4. ACCESS TO SITE: Client o~ill arrange and provide such access to the site as is necessary for NSA to perform the work. NSA shall take reasonable measures and precautions to minimize damage to the site and any improvements located thereon as the result of its work or the use of its equipment. However, restoration costs are not included in the contract fee, and Client expressly releases N CA for liability for any damage to the site, and agrees that NSA shall trot be responsible for the cost of restoring the site to its original condition. If Client desires or requires NSA to restore the site to its original condition, then upon written request acrd agreement by Client to pay the cost thereof, NSA twill perform such additional work as is necessary to repair damage to the site caused by its twork or the use of its equipment. RESPONSIBIL1Tl': NSA's twork shall not include determining, superwising or implementing the means, methods, techniques, sequences or procedures of construction. NSA shall not be responsible for evaluating, reporting or affecting job conditions conccming health, safety or welfare. NSA's +vork or failure to perform same shall not in any way excuse any contractor, subcontractor or supplier from performance of its work in accordance with the contract docwnents. 7. SAMPLE DISPOSAL: IJnless otherwise agreed in writing, test specimens will be disposed of immediately upon completion of the test and all drilling samples or specimens will be disposed of at our discretion nfler a period of seven (7) days after submission of NSA's soils report. 8. PAYMENT: Client shall be invoiced at completion of work or once each month for work performed during the preceding period. Client agrccs to pay each invoice twirhin thirty (30) days of its receipt. The Client further agrees to pap interest on all amounts invoiced and not paid wvithin said thirty (30) day period at the rate of eighteen (18) percent per anmrm (or the maximum interest rate pcrmincd under applicable la+v, whichever is the lesser) until paid. Client agrees to pay NSA's cost of collection of all amounts +vhich remain dtre and unpaid after sixty (60) days, including court costs and reasonable attorney's fees. Failure to make payment within thirty (30) days of invoice shall allow NSA to suspend all work hereunder without notice until payment is made. In addition, failure to make payment within Ihirtp (30) days of invoice shall constitute a release of NSA from any and all claims which Client may have, either in tort or contract, and wvhether known or unknown at the time. 9. TERMINATION: This Agreement may be terminated by either party upon seven (7) days prior written notice. ]n the event of termination, NSA shall 6e compensated by Client for all services performed up to and including the termination date, including reimbursable expenses, and for the completion of such sen•ices and records as are necessary to place NSA's files in order and/or protect its professional reputation ;rnd/or errors and omissions claims. Upon termination of this Agreement, NS.A shall have no further liability to Client for any +vork to be performed under this Agreement. 10. \VARRANTI': NSA's services will be performed, its findings obtained and its reports prepared in accordance with its proposal, Client's acceptance thereof, these General Conditions, and with generally accepted principles and practices in the industry. In perforrning its professional services, NSA will use that degree of care and skill ordinarily exercised under similar circumstances by members of its profession. Nohvithstanding any statements contained herein to the contrary, in no event shall N~4A he liable for any consequential nr incidental damages (including, without limitation, any claim for delay, loss of efficiency, impact, loss of production or anticipated proms) or liability incurred by Client with respect to any services furnished or to be furnished hereunder by NRA. Client expressly ackno+wlcdges that it has rccciwcd consideration for this Agreement to limit liability in the form of a lower contract price. Client may, upon written request received +vithin five (5) days of Client's acceptance hereof, increase the limit oC NRA's liability agreeing to pay NSA an adciitianal sum as agreed in writing prior to the commenecment of NS,~'s services. Phis charge is not to be construed as being a charge for insurance of ar.y type, but is increased consideration for the greater liability involved. l 1. INllE11INI"Tl': Client agrccs to defend, indemnify and save harmless NSA from all claims, including negligence claims, suits, losses, personal injurirs, death and property liability resulting from NSA's performance of the proposed work, whether such claims or damages are caused in whole or in part by NSA, and agrees to reimburse NSA for expenses in connection with any such claims or suits, including reasonable attorney's fees. Client's obligation to indemnify is limited to $2 million per occurrence, twhieh Client agrees bears a reasonable commercial relationship to the work undertaken by NRA. Client further agrees that these gencrnl conditions arc a part of the twork's specifications or bid documents, if any. ARBITRATION: Anything contained in any other contract document not+vithstanding, NSA shall not be bound by a provision or agreement (a) requiring or providing for arbitration of disputes or controversies arising out of N&A's ++•ork or these general conditions, (b) +vherein NSA waives its rights to a mechanic's lien, or (c) conditioning NSA's right to payment upon payment by a third party. 13. PROVISIONS SE1'ERABLE: Itt the e+•ent any of the provisions of these General Conditions should he found to be unenforceable, it shall be stricken and the remaining provisions shall be enforceable. l4. VENUE AND APPLICABLE LA1V: This Agreement shall be governed by and consented in accordance with the laws of the State of Florida. Except +vith respect for the feting and,~or determination of any mechanic liens, m the event of any other legal or equitable action arising under this Agreement, the venue of such action shall lie exclusively within either the state courts of Florida located in Orange County, Florida, or the United Stales District Court for the A4iddle District of Florida, Orlando Division, and the parties hereto do specifically waive an}• other jurisdiction and venue. Further, all causes of action, including but not limited to actions for indemnification, arising out of NSA's +vork shall be deemed to have accrued and the applicable stannes of limitation shall commence to run not later than either the date of substantial completion of the work for acts or failures to act occurring prior to substantial completion, or the dale of issuance of NSA's finzl invoice for acts or failures to act occurring after substantial completion of the +vork. I5. DISCOVERY OF UNANTICIPATED HAZARDOUS A9ATERIALS: NSA and Client agree that the discovery of unanticipated hazardous materials constitutes a changed condition mandating a renegotiation of the scope of work or termination of sen•ices. NSA and Client also agree that the discovery of ttnanlicipated hazardous materials may make it necessary for NSA to take immediate measures to protect health and safety. Client agrees to compensate NS.A for any time spent and expense incurred b}' NSA to protect employees and the public's health and safety. NSA agrees to notify Client as soon as practical should unanticipated hazardous materials or suspected hazardous materials be encountered. In addition, Client waives any claim against NSA and agrees to defend, indemnifj+ and save NSA harmless Gorn any claim or Liability for injury or loss arising from NSA's discovery of unamicipatcd hazardous materials or suspected he»rdous materials. Client also agrees to compensate N&A for any time spent and expense incurred by NSA in defense of any such claim, with such compensation to be based upon NSA's prevailing fee schedule and expense reimbursetncnt policy relative to recovery of direct project costs.
