Authorization REQUEST: The Parks and Recreation Department requests the City Commission to authorize the Mayor to execute the Fifth Addendum to the MV Transportation agreement for Senior Center Transportation for one (1) year. PURPOSE: The purpose of this item is to obtain City Commission approval to execute the Senior Center Transportation Agreement Fifth Addendum for one (1) year. CONSIDERATIONS: • The MV Transportation Agreement for Senior Center Transportation was originally approved on March 24, 2003. The City Commission has approved 4 yearly addendums. • Parks and Recreation has tried to locate a company to provide this specialized service to no avail. Only MV bid this service in 2003. • The agreement includes a cost increase over last year of 5% to $81.56 per hour. The maximum amount to be paid is $25,000.00 which is budgeted in FY 09/10. • Should the Senior Center need transportation more than 2 days per week, the cost per hour would be reduced to 3 days - $67.78; 4 days - $59.13; and 5 days - $55.45. • Staff is pleased with the service provided by MV Transportation and agrees to the reasonable increase in the hourly fee (5%). • Parks and Recreation staff has reviewed the ridership and determined that all users need this service because they have no other means of transportation. • The Senior Transportation Program brought 1,371 Winter Springs seniors to and from the Senior Center for 9 months this FY. FUNDING: Budgeted in 09/10, Account 7250-53186, $25,000. COMMISSION ACTION: ATTACHMENT #1 TRANSPORTATION DISADVANTAGED SERVICES AGREEEMENT FIFTH ADDENDUM THIS FIFTH ADDENDUM, is made and entered October 1, 2009, for reference purposes, by and between the CITY OF WINTER SPRINGS, FLORIDA, a Florida municipal corporation, whose address is 1126 East State Road 434, Winter Springs, Florida (hereinafter the "City"), and MV CONTRACT TRANSPORTATION, INC., a Delaware corporation registered and doing business in the State of Florida, whose principal address is 360 Campus Lane, Suite 201, Fairfield, California (hereinafter the "Contractor"). RECITALS: WHEREAS, the parties previously entered into a Fourth Addendum to the Transportation Disadvantaged Services Agreement, which was executed by the City on October 13, 2008, and by Contractor on October 24, 2008 ("Fourth Addendum"); and WHEREAS, the Second Addendum authorizes the parties to extend the term of their Agreement for five (5) additional one-year terms; and WHEREAS, the parties desire to exercise the renewal option and extend the term of the Agreement, as amended by the Addendum, Second Addendum, Third Addendum, and Fourth Addendum for an additional one (1) year term as set forth herein; and WHEREAS, the parties desire to adjust Contractor's maximum compensation; and NOW, THEREFORE, in consideration of the mutual promises contained herein, the sufficiency of which is hereby acknowledged, it is agreed by the parties as follows: 1.0 Recitals. The foregoing recitals are true and correct and are hereby incorporated herein by reference as a material part of this Fifth Addendum 2.0 Term. The term of the Transportation Disadvantaged Services Agreement, as amended by the Addendum, Second Addendum, Third Addendum, and Fourth Addendum, is hereby extended until midnight on September 30, 2010. 3.0 Compensation. For the performance and full completion of the Services specified in the Agreement, City agrees to pay an hourly rate not to exceed $81.56 per hour with the total amount of compensation to the Contractor not to exceed $25,000.00 during the term. All other terms and conditions of the Transportation Disadvantaged Services Agreement, as amended by the Addendum, Second Addendum, Third Addendum, and Fourth Addendum, shall remain in full effect and shall be enforceable as provided therein. 5.0 Effective Date. The effective date of this Fifth Amendment shall be the last date signed below. IN WITNESS WHEREOF, and intending to be legally bound hereby, the parties cause this Addendum to be executed and attested to by their respective authorized officials.
