HomeMy WebLinkAbout2007 12 10 Consent 203 Execute Wall Easement Agreements for Extension of Oak Forest WallCOMMISSION AGENDA ITEM 203 December 10, 2007 Meeting CONSENT X INFORMATIONAL PUBLIC HEARING REGULAR MGR /DEPT Authorization REQUEST: The Community Development Department, Urban Beautification Services Division, Is Requesting Authorization For The City Manager To Execute (2) Two Wall Easement Agreements Necessary For Construction Of A Wall Extension For The Oak Forest Wall And Beautification District. PURPOSE: This agenda item is needed for the Commission to approve execution of a wall easement agreement between the City and Patrick E. & Marianne Mahoney, and a wall easement agreement between the City and Brian J. Oliver, for construction and maintenance of the Oak Forest Wall Extension Project on private property. CONSIDERATIONS: On June 27, 2005, Staff presented Informational Item 303 to the Commission regazding the Oak Forest Wall and Beautification District's Wall Extension Project, informing of the Advisory Board's desire to extend the existing decorative wall northward. In order for the wall extension to be constructed, either a small pazcel of land needed to be purchased from Seminole Pines Associates, LTD. by the City or (2) two separate wall easements onto private property granted to the City by their respective owners. Staff requested the City Attorney's office perform due diligence related to the purchase of this parcel and to draft documents for Commission approval. On March 27, 2006, Staff presented Regular Item 302 to the Commission requesting authorization for purchase of the land parcel by the City at a cost of $3,600 plus related expenses. Later, in the due diligence 121007_COMM_Consent_203_Oak_Forest_Wall_Easement_Agreements process, unforeseen issues were discovered revealing potential difficulties in guaranteeing clear title to this parcel and it's purchase was discouraged by the City Attorney at this time. Pursuant to unanimous agreement by the Oak Forest Wall and Beautification District Advisory Board, Staff requested the City Attorney's office draft Wall Easement Agreements for Patrick E & Marianne Mahoney of and for Brian J. Oliver of 630 Cheoy Lee Circle, to allow the City to construct and maintain a wall extension utilizing easements onto their private properties. Both parties have agreed, in light of the benefit to the Oak Forest Community, to execute Wall Extension Agreements with the City for this purpose. FUNDING: No funding is necessary for execution of the Wall Easement Agreements with Patrick E. and Marianne Mahoney of and Brian J. Oliver of 630 Cheoy Lee Circle. RECOMMENDATION: Staff recommends the Commission approve the attached Wall Easement Agreement between Patrick E. and Marianne Mahoney and the City of Winter Springs, and the attached Wall Easement Agreement between Brian J. Oliver and the City of Winter Springs; for the purpose of constructing and maintaining the Oak Forest Wall Extension. IMPLEMENTATION SCHEDULE: The Wall Easement Agreements will be executed by all applicable parties and recorded into public record by the City Attorney's office immediately upon approval. Box 2873 Orlando, FL 32802-2873 WALL EASEMENT THIS WALL EASEMENT is made this day of , 2007 by PATRICK E. & MARIANNE MAHONEY, husband and wife, having a mailing address of (hereinafter called "Grantors") in favor of the CITY OF WINTER SPRINGS, FLORIDA, a Florida Municipal Corporation, having a mailing address of 1126 East State Road 434, Winter Springs, Florida 32708 (hereinafter called "Grantee"). WITNESSETH WHEREAS, Grantors are the owners of certain real property located within the City of Winter Springs; and WHEREAS, Grantors desire to convey a perpetual wall easement over, under, and across a portion of their property, as legally described herein, for purposes of allowing Grantee to construct and maintain a perimeter wall along Tuskawilla Road and the Oak Forest subdivision, and other incidental appurtenances and accessories thereto for the benefit of the Grantors and of the public; and WHEREAS, the perimeter wall would provide noise and light abatement and continue the beautification efforts of Grantee, and would extend and complete the existing perimeter wall along Tuskawilla Road to the far north end of the Oak Forest subdivision; and WHEREAS, Grantors, as fee simple owners of the easement property, also agree to cooperate with Grantee in obtaining any local, state, or federal permits required to construct the perimeter wall any other incidental appurtenances and accessories thereto; and NOW, THEREFORE, in consideration of the enutnerated purposes stated herein, and mutual covenants, terms and conditions and restrictions contained herein, together with other good and valuable consideration, the receipt and sufficiency of which is acknowledged, Grantors provide as follows: 1) Recitals. The foregoing recitals are hereby incorporated herein by this reference. 2) Grant of Easement. Grantors hereby voluntarily grant and convey to Grantee, WALL EASEMENT Patrick E. & Marianne Mahoney /City of Winter Springs Page 1 of 7 and its successors, and assigns, subject to any previous duly recorded easements or grants of record, a wall easement over, under, and across the portion of real property described and depicted on Exhibit ~°A," which is attached hereto and incorporated herein by this reference ("Property") of the nature and character and to the extent hereinafter set forth. 3) Purpose of Easement. This Wall Easement ("Easement") is granted for the express purpose of allowing Grantee to construct and maintain a perimeter wall over, under, and across the Property. It is also the express purpose of this Easement to provide Grantee unconditional ingress and egress to, over, under and from the Property for the purposes stated herein. 4) Rights of Grantee. To accomplish the purposes stated above, and at Grantee's expense, the following rights are conveyed to the Grantee by this Easement: a. To use the Property to construct, operate, and maintain a perimeter waIi over, under, and across the Property including landscaping, and utilities and any other incidental appurtenances and accessories thereto. Said wall shall: (i) be constructed to substantially conform to, and shall form a continuous extension of, the existing perimeter wall along Tuskawilla Road and the Oak Forest subdivision; (ii) be constructed primarily of red brick; and (iii) be between six (6) and eight (8) feet in height depending on the varying grade of the Property; b. To prevent any activity on or use of the Property that is inconsistent with the purpose of the Easement, and to require the restoration of areas or features of the Property that may be damaged by an inconsistent activity or use; c. To use this Easement for ingress and egress to the wall, landscaping and related improvements thereto; d. To cut, trim, and keep clear such trees, brush, and undergrowth that might hinder or prohibit the use of the Property for the purposes stated herein; and e. To take any civil action deemed necessary, at the Grantee's sole and absolute discretion, to protect and preserve the Easement granted hereunder. 5) Permits. The parties acknowledge that certain local, state, and federal permits may be required from time to time for purposes of constructing, operating, and WALL EASEMENT Patrick E. & Marianne Mahoney /City of Winter Springs Page 2 of 7 maintaining the wall and related improvements referred to herein. Grantors, as fee simple owners of the Property; hereby agree to allow Grantee to make application for said permits and also agree to join in any said permit (as signatory or otherwise) when required by any permitting agency for issuance of the permit. Notwithstanding, Grantee shall be solely responsible and liable for complying with any local, state; or federal permit requirements, obligations, and duties (if any) related to the construction, operation, and maintenance of the wall and related improvements thereto. 6) Easements. Run ~vith the Land This Easement shall remain a charge against the Property. Therefore, this Easement shall "run with the land" and be automatically assigned by any deed or other conveyance conveying a portion of the Property relating to this easement, even though conveyance makes no reference to this Easement as such. 7} Attorney's Fees. In the event of any legal action arising under this Easement between the parties, the prevailing party of said action shall be entitled to reasonable attorney's fees, court costs, and expenses, through all appellate proceedings. 8) Recordation. Grantee shall record this instrument in a timely fashion in the Official Records of Seminole County, Florida and may re-record it at any time as maybe required to preserve its rights in this Easement. 9) Successors. The covenants, terms, conditions, rights, and restrictions of this Easement shall be binding upon, and inure to the benefit of the parties hereto and their respective personal representatives, heirs, successors, and assigns and shall continue as a servitude running with the Property. 10) Grantors Representations and Warranties Grantors hereby agree and make the following representations and warranties to Grantee: a. Grantors are lawfully seized of said Property in fee simple and have full and lawful authority to execute this Easement, convey the Easement to Grantee, and bind the Property as set forth herein. b. The Property is free of any and all encumbrances, except zoning restrictions and prohibitions and other requirements imposed by government authority and other encumbrances which are recorded in the public records of Seminole County, Florida. If requested by Grantee, Grantors agree to assist the Grantee in obtaining a Joinder and Consent WALL EASEMENT Patricl: E. & Marianne Mahoney /City of W inter Springs Page 3 of 7 Agreement from any lien holder on the Property representing the lien holder's consent to this Easement. c. Grantors hereby warrant the title to the Easement granted hereunder over, under, and across the Property and will defend the same against lawful claims of all persons whomever. 11) Grantee's Right to Seek Equitable Relief. Grantors agree, acknowledge and recognize that any breach of this easement by Grantors would result in irreparable harm to Grantee and accordingly, Grantors agree that in addition to and not in lieu of all legal and equitable remedies available to Grantee by reason of such breach, Grantee shall be entitled to equitable relief (including, without limitation, specific performance and injunctive relief) to enjoin the occurrence and continuation of the breach. 12) Entire Agreement. This Easement constitutes the full and entire agreement between the parties hereto and supersedes any oral or written prior communications between the parties related to the subject matter contained in this Easement. The Easement shall be governed by the laws of Florida. i3) Sovereign Immunity. Notwithstanding any other provision set forth in this Easement, nothing contained in this Easement shall be construed as a waiver of the Grantee's right to sovereign immunity under section 768.28, Florida Statutes, or other limitations imposed on the Grantee's potential liability under state or federal law. As such, the Grantee shall not be liable under this Easement for punitive damages or interest for the period before judgment. Further, the Grantee shall not be liable for any claim or judgment, or portion thereof to any one person for more than one hundred thousand dollars ($100;000.00), or any claim or judgment, or portion thereof; which, when totaled with all other claims or judgments paid by the State or its agencies and subdivisions arising out of the same incident or occurrence, exceeds the sum of two hundred thousand dollars ($200,000.00). This paragraph shall survive ternlination of this Easement. 14) Modifications. This Easement shall only be modified by a written instrument executed by the parties hereto or any successor, assigns heirs, or representatives thereto. 15) Grantors Dutv of Noninterference. Grantors agree not to interfere or allow others under Grantors' control to interfere with Grantee's rights to use the Property as specifically set forth herein. Grantors agree not to permit or allow the construction or erection of any building or structure on the Property without prior written consent of the Grantee. However, in the event the Grantee determines, at its sole discretion, that it no longer requires the wall and related improvements described herein, Grantee, at Grantors' written request, agrees to execute an appropriate written instrument to terminate this Easement. Upon termination of the Easement by the Grantee, Grantee, upon request by Grantors, will remove the wall and related improvements and restore the Property to its original condition, less reasonable wear and tear. 17) Reciprocal Indemnification. To the extent permitted by law, each party hereto agrees to indemnify and hold harniless the other party from and against all claims, losses, damages, personal injuries (including but not limited to death), or liability (including reasonable attorney's fees through all appeals}, directly or indirectly arising from, or out of the indemnifying party's acts, errors, or omissions, intentional or otherwise, resulting from this Easement. This Wall Easement ("Easement") is granted for the express purpose of allowing Grantee to construct and maintain a perimeter wall over; under, and across the Property. It is also the express purpose of this Easement to provide Grantee unconditional ingress and egress to, over, under and from the Property for the purposes stated herein. 4) Rights of Grantee. To accomplish the purposes stated above, and at Grantee's expense, the following rights are conveyed to the Grantee by this Easement: a. To use the Property to construct, operate, and maintain a perimeter wall over, under, and across the Property including landscaping, and utilities and any other incidental appurtenances and accessories thereto. Said wall shall: (i) be constructed to substantially conform to, and shall form a continuous extension of, the existing perimeter wall along Tuskawilla Road and the Oak Forest subdivision; (ii) be constructed primarily of red brick; and (iii) be between six (6) and eight {8) feet in height depending on the varying grade of the Property; b. To prevent any activity on or use of the Property that is inconsistent with the purpose of the Easement, and to require the restoration of areas or features of the Property that may be damaged by an inconsistent activity or use; c. To use this Easement for ingress and egress to the wall, landscaping and related improvements thereto; d. To cut, trim, and keep clear such trees, brush, and undergrowth that might hinder or prohibit the use of the Property for the purposes stated herein; and e. To take any civil action deemed necessary, at the Grantee's sole and absolute discretion, to protect and preserve the Easement granted hereunder. 5} Permits. The parties acknowledge that certain local, state, and federal permits may be required from time to time for purposes of constructing, operating, and maintaining the wall and related improvements referred to herein. Oliver /City of Winter Springs Page 2 of 7 simple owner of the Property, hereby agrees to allow Grantee to make application for said pernZits and also agrees to join in any said permit (as signatory or otherwise) when required by any permitting agency for issuance of the permit. Notwithstanding, Grantee shall be solely responsible and liable for complying with any local, state, or federal permit requirements, obligations, and duties (if any) related to the construction, operation, and maintenance of the wall and related improvements thereto. 6) Easements. Run ~vith the Land. This Easement shall remain a charge against the Property. Therefore, this Easement shall "run with the land" and be automatically assigned by any deed or other conveyance conveying a portion of the Property relating to this easement, even though conveyance makes no reference to this Easement as such. 7) Attorney's Fees. In the event of any legal action arising under this Easement between the parties, the prevailing party of said action shall be entitled to reasonable attorney's fees, court costs, and expenses, through all appellate proceedings. 8) Recordation. Grantee shall record this instrument in a timely fashion in the Official Records of Seminole County. Florida and may re-record it at any time as may be required to preserve its rights in this Easement. 9) Successors. The covenants, terms, conditions, rights, and restrictions of this Easement shall be binding upon, and inure to the benefit of the parties hereto and their respective personal representatives, heirs, successors, and assigns and shall continue as a servitude running with the Property. 10} Grantor Representations and Warranties. Grantor hereby agrees and makes the following representations and warranties to Grantee: a. Grantor is lawfully seized of said Property in fee simple and has full and lawful authority to execute this Easement, convey the Easement to Grantee, and bind the Property as set forth herein. b. The Property is free of any and all encumbrances, except zoning restrictions and prohibitions and other requirements imposed by government authority and other encumbrances which are recorded in the public records of Seminole County, Florida. If requested by Grantee, Grantor agrees to assist the Grantee in obtaining a Joinder and Consent Agreement from any lien holder on the Property representing the lien WALL EASEMENT Brian J. Grantor hereby warrants the title to the Easement granted hereunder over, under, and across the Property and will defend the same against lawful claims of all persons whomever. 11) Grantee's Right to Seek Equitable Relief. Grantor agrees, acknowledges and recognizes that any breach of this easement by Grantor would result in irreparable harm to Grantee and accordingly, Grantor agrees that in addition to and not in lieu of all legal and equitable remedies available to Grantee by reason of such breach, Grantee shall be entitled to equitable relief (including, without limitation, specific performance and injunctive relief) to enjoin the occurrence and continuation of the breach. 12) Entire Agreement. This Easement constitutes the full and entire agreement between the parties hereto and supercedes any oral or written prior communications between the parties related to the subject matter contained in this Easement. The Easement shall be governed by the laws of Florida. 13) Sovereign Immunity. Notwithstanding any other provision set forth in this Easement, nothing contained in this Easement shall be construed as a waiver of the Grantee's right to sovereign immunity under section 768.28, Florida Statutes, or other limitations imposed on the Grantee's potential liability under state or federal law. As such, the Grantee shall not be liable under this Easement for punitive damages or interest for the period before judgment. Further, the Grantee shall not be liable for any claim or judgment, or portion thereof, to any one person for more than one hundred thousand dollars ($100,000.00}, or any claim or judgment, or portion thereof, which, when totaled with all other claims or judgments paid by the State or its agencies and subdivisions arising out of the same incident or occurrence, exceeds the sum of two hundred thousand dollars ($200;000.00). This paragraph shall survive termination of this Easement. 14) Modifications. This Easement shall only be modified by a written instrument executed by the parties hereto or any successor, assigns heirs, or representatives thereto. 15) Grantor Duty of Noninterference. Grantor agrees not to interfere or allow others under Grantor' control to interfere with Grantee's rights to use the Property as specifically set forth herein. Grantor agrees not to permit or allow the construction or erection of any building or structure on the Property without prior written consent of the Grantee. WALL EASEMENT Brian J. However, in the event the Grantee determines, at its sole discretion, that it no longer requires the wall and related improvements described herein, Grantee, at Grantor's written request, agrees to execute an appropriate written instrument to terminate this Easement. Upon termination of the Easement by the Grantee, Grantee; upon request by Grantor, will remove the wall and related improvements and restore the Property to its original condition, less reasonable wear and tear. 17) Reciprocal Indemnification. To the extent permitted by law, each party hereto agrees to indemnify and hold harmless the other party from and against all claims, losses, damages, personal injuries {including but not limited to death), or liability {including reasonable attorney's fees through all appeals), directly or indirectly arising from, or out of the indemnifying party's acts, errors, or omissions, intentional or otherwise, resulting from this Easement. Grantors hereby v ck E. & Marianne Mahoney I City of winter Springs Page I of 7 and its successors, and assigns, subject to any previous duly recorded easements or grants of record, a wall easement over, under, and across the portion of real property described and depicted on Exhibit "A," which is attached hereto and incorporated herein by this reference ("Property") of the nature and character and to the extent hereinafter set forth. 3} Parpose of Easement. This Wall Easement ("Easement"} is granted for the express purpose of allowing Grantee to construct and maintain a perimeter wall over, under, and across the Property. It is also the express purpose of this Easement to provide Grantee unconditional ingress and egress to, over, under and from the Property for the purposes stated herein. 4} Rights of Grantee, To accomplish the purposes stated above, and at Grantee's expense, the following rights are conveyed to the Grantee by this Easement: a. To use the Property to construct, operate, and maintain a perimeter wall over, under, and across the Property including landscaping, and utilities and any other incidental appurtenances and accessories thereto. Said wall shall: ~i} be constructed to substantially conform to, and shall form a continuous extension of, the existing perimeter wall along Tuskawilla Road and the Dak Forest subdivision; (ii} be constructed primarily of red brick; and (iii) be between six (d) and eight ~8} feet in height depending on the varying grade of the Propel-~~; b. To prevent any activit} on or use of the Property that is inconsistent with the purpose of the Easement, and to require the restoration of areas or features of the Property that maybe damaged by an inconsistent activity or use; c. To use this Easement for ingress and egress to the wall, landscaping and related in~provements thereto; d. To cut, trim, and keep clear such trees, brush, and undergrowth that might hinder or prohibit the use of the Property for the purposes stated herein; and e, To take an}T civil action deemed necessary, at the Grantee's sole and absolute discretion, to protect and preserve the Easement granted hereunder. 5} Pe_ rmits. Therefore, this Easement shall "run with the land" and be automatically assigned by any deed or other conveyance conveying a portion of the Property relating to this easement, even though conveyance makes no reference to this Easement as such. 7) Att~orne_y's Fees, In the event of any legal action arising under this Easement between the parties, the prevailing party of said action shall be entitled to reasonable attorney's fees, court costs, and expenses, through all appellate proceedings. $) Recordation. Grantee shall record this instrument in a timely fashion in the Gfficial Records of Seminole County, Florida and may re-record it at any time as may be required to preserve its rights in this Easement. 9} Successors, The covenants, terms, conditions, rights, and restrictions of this Easement shall be binding upon, and inure to the benefit of the parties hereto and their respective personal representatives, heirs, successors, and assigns and shall continue as a servitude rurv~ing with the Property. lo) Grantors Representations and Warranties. Grantors hereby agree and make the following representations and warranties to Grantee: a. Grantors are lawfully seized of said Property in fee sin~ple and have full and lawful authority to execute this Easement, convey the Easement to Grantee, and bind the Property as set forth herein. b. The Property is free of any and all encumbrances, except zoning restrictions and prohibitions and other requirements imposed by government authority and other encumbrances which are recorded in the public records of Seminole County, Florida. Grantors hereby warrant the title to the Easement granted hereunder over, under. and across the Property and will defend the same against lawful claims of all persons whomever. 11) Grantee's Right to Seek Equitable Relief. Grantors agree, acknowledge and b recognize that any breach of this easement by Grantors would result in irre arable p harm to Grantee and accordingly, Grantors agree that in addition to and nat in lieu of all legal and equitable remedies available to Grantee by reason of such breach, Grantee shall be entitled to equitable relief (including, without limitation, s ecific p performance and injunctive relied} to enjoin the occurrence and continuation of the breach. 12) Entire A reement. This Easement constitutes the full and entire agreement between the parties hereto and supersedes any oral or written rior p communications between the parties related to the subject matter contained in this Easement. The Easement shall be governed by the laws of Florida. 13} Sovereign Immunity. Notwithstanding any other provision set forth in this Easement, nothing contained in this Easement shall be construed as a waiver of the Grantee's right to sovereign immunity under section 768.28, Florida Statutes, or other limitations imposed on the Grantee's potential liability under state or federal law. As such, the Grantee shall not be liable under this Easement for punitive damages or interest for the period before j udgment. Further, the Grantee shall not be liable for any claim or judgment, or portion thereof, to any one person for mare than one hundred thousand dollars ($100,000.00}, or any claim or judgment, or portion thereof, which, when totaled with all other claims or judgments paid by the State or its agencies and subdivisions arising out of the same incident or occurrence, exceeds the sum of two hundred thousand dollars ($200,000.00). This paragraph shall survive termination of this Easement. 14} Modifications. This Easement shall only be modified by a written instrument executed by the parties hereto or any successor, assigns heirs, or representatives thereto. l~) Grantors Duty of Noninterference. Grantors agree not to interfere or allow others under Grantors' control to interfere with Grantee's rights to use the Property as specifically set forth herein. Grantors agree not to permit or allow the construction or erection of any building or structure on the Property without prior written consent of the Grantee. P~ However, in the event the Grantee determines, at its sole discretion, that it no longer requires the wall and related improvements described herein, Grantee, at Grantors' written request, agrees to execute an appropriate written instrument to terminate this Easement. Upon termination of the Easement by the Grantee Grantee, upon request by Grantors, will remove the wail and related Improvements and restore the Property to its original condition, less reasonable wear and tear. 17) Reci rocal Indemnification, To the extent permitted by law, each hereto per' agrees to Indemnify and hold harmless the other party from and against all claims, losses, damages, personal injuries (including but not limited to death), or liabili tY (including reasonable attorney's fees through all appeals), directly or indirectl . It is also the express purpose of this Easement to provide Grantee unconditional ingress and egress to, over, under and from the Property for the purposes stated herein. 4} Rights of Grantee, To accomplish the purposes stated above, and at Grantee's expense, the following rights are conveyed to the Grantee by this Easement: a. To use the Property to construct, operate, and maintain a perimeter wall over, under, and across the Property including landscaping, and utilities and any other incidental appurtenances and accessories thereto. Said wall shall: ~i} be constructed to substantially conform to, and shall form a continuous extension of, the existing perimeter wall along Tuskawilla Road and the Dak Forest subdivision; (ii} be constructed primarily of red brick; and (iii) be between six (d) and eight ~8} feet in height depending on the varying grade of the Propel-~~; b. To prevent any activit} on or use of the Property that is inconsistent with the purpose of the Easement, and to require the restoration of areas or features of the Property that maybe damaged by an inconsistent activity or use; c. To use this Easement for ingress and egress to the wall, landscaping and related in~provements thereto; d. To cut, trim, and keep clear such trees, brush, and undergrowth that might hinder or prohibit the use of the Property for the purposes stated herein; and e, To take an}T civil action deemed necessary, at the Grantee's sole and absolute discretion, to protect and preserve the Easement granted hereunder. 5} Pe_ rmits. The parties acknowledge that certain local, state, and federal permits may be required from time to time for purposes of constructing, operating, and WALL EASEMENT Patrick E. & Marianne Mahone}~ 1 City of Winter Springs Page 2 of 7 maintaining the wall and related improvements referred to herein. Grantors, as fee simple owners of the Property, hereby agree to allow Grantee to make application for said permits and also agree to join in any said permit tas signatory or otherwise} when required by any permitting agency for issuance of the permit. Notwithstanding, Grantee shall be solely responsible and liable for complying with any local, state, or federal permit requirements, obligations, and duties cif any) related to the construction, operation, and maintenance of the wall and related improvements thereto. 4) Easements, Run with the Land. This Easement shall remain a charge a ainst g the Property. Therefore, this Easement shall "run with the land" and be automatically assigned by any deed or other conveyance conveying a portion of the Property relating to this easement, even though conveyance makes no reference to this Easement as such. 7) Att~orne_y's Fees, In the event of any legal action arising under this Easement between the parties, the prevailing party of said action shall be entitled to reasonable attorney's fees, court costs, and expenses, through all appellate proceedings. $) Recordation. Grantee shall record this instrument in a timely fashion in the Gfficial Records of Seminole County, Florida and may re-record it at any time as may be required to preserve its rights in this Easement. 9} Successors, The covenants, terms, conditions, rights, and restrictions of this Easement shall be binding upon, and inure to the benefit of the parties hereto and their respective personal representatives, heirs, successors, and assigns and shall continue as a servitude rurv~ing with the Property. lo) Grantors Representations and Warranties. Grantors hereby agree and make the following representations and warranties to Grantee: a. Grantors are lawfully seized of said Property in fee sin~ple and have full and lawful authority to execute this Easement, convey the Easement to Grantee, and bind the Property as set forth herein. b. The Property is free of any and all encumbrances, except zoning restrictions and prohibitions and other requirements imposed by government authority and other encumbrances which are recorded in the public records of Seminole County, Florida. If requested by Grantee, Grantors agree to assist the Grantee in obtaining a Joinder and Consent ~VAL~ EASEMENT Patrick E. & Marianne Mahoney / City of winter Springs Page 3 of 7 Agreement from any lien holder on the Property representing the lien holder's consent to this Easement. c. Grantors hereby warrant the title to the Easement granted hereunder over, under. and across the Property and will defend the same against lawful claims of all persons whomever. 11) Grantee's Right to Seek Equitable Relief. Grantors agree, acknowledge and b recognize that any breach of this easement by Grantors would result in irre arable p harm to Grantee and accordingly, Grantors agree that in addition to and nat in lieu of all legal and equitable remedies available to Grantee by reason of such breach, Grantee shall be entitled to equitable relief (including, without limitation, s ecific p performance and injunctive relied} to enjoin the occurrence and continuation of the breach. 12) Entire A reement. This Easement constitutes the full and entire agreement between the parties hereto and supersedes any oral or written rior p communications between the parties related to the subject matter contained in this Easement. The Easement shall be governed by the laws of Florida. 13} Sovereign Immunity. Notwithstanding any other provision set forth in this Easement, nothing contained in this Easement shall be construed as a waiver of the Grantee's right to sovereign immunity under section 768.28, Florida Statutes, or other limitations imposed on the Grantee's potential liability under state or federal law. As such, the Grantee shall not be liable under this Easement for punitive damages or interest for the period before j udgment. Further, the Grantee shall not be liable for any claim or judgment, or portion thereof, to any one person for mare than one hundred thousand dollars ($100,000.00}, or any claim or judgment, or portion thereof, which, when totaled with all other claims or judgments paid by the State or its agencies and subdivisions arising out of the same incident or occurrence, exceeds the sum of two hundred thousand dollars ($200,000.00). This paragraph shall survive termination of this Easement. 14} Modifications. This Easement shall only be modified by a written instrument executed by the parties hereto or any successor, assigns heirs, or representatives thereto. l~) Grantors Duty of Noninterference. Grantors agree not to interfere or allow others under Grantors' control to interfere with Grantee's rights to use the Property as specifically set forth herein. Grantors agree not to permit or allow the construction or erection of any building or structure on the Property without prior written consent of the Grantee. P~ However, in the event the Grantee determines, at its sole discretion, that it no longer requires the wall and related improvements described herein, Grantee, at Grantors' written request, agrees to execute an appropriate written instrument to terminate this Easement. Upon termination of the Easement by the Grantee Grantee, upon request by Grantors, will remove the wail and related Improvements and restore the Property to its original condition, less reasonable wear and tear. 17) Reci rocal Indemnification, To the extent permitted by law, each hereto per' agrees to Indemnify and hold harmless the other party from and against all claims, losses, damages, personal injuries (including but not limited to death), or liabili tY (including reasonable attorney's fees through all appeals), directly or indirectl . Y arising from, or aut of the indemnifying party's acts, errors, or omissions, intentional or otherwise, resulting from this Easement.
