REQUEST: The Community Development Department requests the City Commission consider the proposed fourth development agreement modification for the Vistawilla Office Center, located on the south side of SR 434, just west of the Greeneway interchange. PURPOSE: To consider a request for the fourth modification to the development agreement for Vistawilla Office Center, a 79,800 square foot (S.F.) office complex on a 9.17 acre site abutting SR 434 within the Tuscawilla Planned Unit Development (PUD). The site is subject to an existing development agreement and settlement agreement. The applicant has proposed a fourth modification to the development agreement to substitute the proposed 6 foot tall "Viking Wall System," a steel reinforced foam wall with a stucco covering for the 6 foot tall masonry wall prescribed in sections 2.1, 3.3, and 3.4 of the 1998 development agreement. The Commission agreed in concept to substituting the steel reinforced foam wall for the masonry wall at its February 12 meeting. This development agreement modification formalizes the change. March 12,2007 Regular Agenda Item 602 Page 2 of3 CHRONOLOGY: August 22, 2005 - City Commission approved Conceptual Plan (relative to the reduced setback from 50' to 25' along SR 434) for construction of two office buildings totaling 79,000 SF. January 23,2006 - Final engineering/site plan for Phase I and development agreement (DA) approval. April 24, 2006 - Aesthetic review for both buildings approved. June 12,2006 - DA amendment approved to allow lighting before CO. August 28, 2006 - Final engineering/site plan for Phase II approved. December 11, 2006 - Third DA amendment. January 22, 2007 - Commission agreed to proposal to hide meter bank and transformer. February 12, 2007 - Commission agreed to steel reinforced foam wall concept. CONSIDERA TIONS: The 1998 development agreement required a 6 foot tall masonry wall along the southern border of the site to buffer the existing residential development (Eagles Watch phase 2 single- family residential subdivision). Section 20-417, subsequently promulgated through the adoption of Ordinance No. 2000-07, on May 8,2000, requires a buffer wall to "be constructed of concrete block, brick or other durable material (wood not allowed) which is compatible with the surrounding area, and acceptable to the development review committee as to compatibility, design, and compliance with this section and the City Code." The more stringent language in the development agreement was the applicable regulation in this situation. At its February 12,2007, meeting, the Commission determined that the proposed steel reinforced foam wall with a stucco covering was consistent with the "other durable material" requirement. This fourth modification formalizes the approval of this alternative as an acceptable buffer wall at this location. FIND IN GS: 1. The Vistawilla Office site is located on the south side of SR 434, west of the Greeneway, east of the Hess gas station, and north of Eagles Watch phase 2, within both the Commercial portion of the Tuscawilla PUD, and within the SR 434 New Development Overlay Zoning District. 2. The site is subject to an existing 1998 development agreement and 3 subsequent modifications. 3. The Proposed fourth modification to the Development Agreement is consistent with the determination made by the Commission at its February 12,2007 meeting. WITNESSETH: WHEREAS, Robert Yeager, Trustee ("Yeager") and the City previously entered into a binding Developer's Agreement dated April 13, 1998 and recorded May 13, 1998 in Official Records Book 3424, Page 0611, of the Public Records of Seminole County, Florida (the "Original Developer's Agreement"), relating to certain real property located in Seminole County, Florida and more particularly described therein (the "Property"); and WHEREAS, Vistawilla purchased the Property from Yeager and is the current fee simple owner of the Property; and WHEREAS, Vistawilla and the City previously amended the Original Developer's Agreement pursuant to that certain First Modification of Developer's Agreement dated February 27, 2006 and recorded March 8, 2006 in Official Records Book 6151, Page 42 (the "First Modification"), and that certain Second Modification of Developer's Agreement dated June 12, 2006 and recorded June 27, 2006 in Official Records Book 6304, Page 36 (the "Second Modification"), and that certain Third Modification of Developer's Agreement dated , 2006 and recorded , 2006 in Official Records Book 0082037\119619\1032365\1 Third Modification to Developer's Agreement City of Winter Springs and Vistawilla Office Center, LLC - I - , Page (the "Third Modification"), all of the Public Records of Seminole County, Florida (the Original Developer's Agreement, the First Modification, the Second Modification and the Third Modification are hereinafter collectively referred to as the "Developer's Agreement"); and WHEREAS, Vistawilla has requested another amendment to the Developer's Agreement in order to modify certain site development requirements set forth therein; and WHEREAS, in furtherance of this request, the parties desire to amend the Developer's Agreement, all under the terms and conditions contained herein. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties mutually agree to amend the Developer's Agreement as follows: 1. Recitals; Capitalized Terms. The recitals set forth above are true and correct and are incorporated herein by this reference. Unless otherwise set forth herein, all capitalized terms utilized herein shall have the same meaning as set forth in the Developer's Agreement. 2. Construction of Wall. The City and Vistawilla acknowledge that Section 2.1 of the Original Developer's Agreement requires the construction of a six (6) foot masonry wall along the rear of the Property to provide a buffer between the intended commercial use and the adjacent residential use. Vistawilla has submitted plans for a "Viking Wall System" as more particularly depicted and described on Exhibit "A" attached hereto and incorporated herein by this reference (the "Viking Wall"), and the City hereby acknowledges and agrees that the Viking Wall shall satisfy the requirements for the construction of a wall as set forth in Sections 2.1, 3.3 and 3.4 of the Agreement. 3. Effect of Amendment. All other terms and conditions of the Developer's Agreement, not in conflict with this Amendment, shall remain in full force and effect. Premises Incorporated Herein correct. 2. Property Affected 2.1 The real property described on Exhibit "A" constitutes the entire property subject to this Development Agreement. A consideration for the City entering into this Agreement is that certain enhancements (such as enhanced lapdscaping and a ~(6') food masonry wall along the rear of the subject propert~ and certain common design themes or criteria (a unifonn ground mounted sign system for the site) are being proposed by the Property Owner . and.accepted by, the City. Certain requirements set forth herein, therefore, apply to the entire property (Exhibit "A"). 2.2 Such a specific implementing development agreement is created for the Hess site (Exhibit "B") in this Agreement. Enhanced Landscaping, Sidewalks. Wall. and Retention Ponds. The development of all or any part ofthe real property described on Exhibit "A" shall be subject to the enhanced landscaping including berms and meandering sidewalks (to the extent such meanders and additional width are allowed by the Florida Depart}llent of Transportation (DOT)), as set forth on the Master Development Program for Tuscawilla Tract 15, Parcell-B (Sheets 2 & 3), dated December 23, 1997, and revised February 23, 1998 and March 4, 1998, prepared by Bower- Singleton and Associates, Inc. (hereinafter called the Mater Development Program), and on file with the Office of the City Clerk, Winter Springs, Florida. Failure of the Property Owner or his assigns to install the landscaping and six (6') _.~ ... masonry wall (as lots are developed), agreed to and required by this Agreement shall be a breach of this Agreement and shall constitute a basis authorizing of the City to withhold issuance of permits, and/or certificates of occupancy, until the landscaping and wall construction obligations imposed by this Agreement are fully complied with. 3.5 This Agreement obligates the Property Owner to install a meandering six (6') foot wide sidewalk along the State Road 434 frontage of this property as shown on the Master Development Program. The City acknowledges that the landscape design depicted on Sheet 3 of the Master Development Program requires use ofD.O.T. State Road 434 right-of-way and modification of D.O. T. sidewalk placement and width requirements and therefore is subject to review and approval by the D.O.T. It shall be the Property Owner's obligation to obtain said approval with the cooperation and assistance of the City. As mutual consideration by and between the City and the Property Owner the signage for the entire property described on Exhibit IIAII shall be in accordance with the design and specifications per the Master Development Program, Sheets 2 and 3. 4.1 As to the entire property on Exhibit IIAII, the unifonn design signage fronting on State Road 434 shall be that size, bulk and height and design as set forth on Sheet 3 of the Master Development Program and shall be constructed by the Property Owner or successors in accordance with the aforementioned plans. The City agrees to the number and placement of signs as depicted on Sheet 2 of the Master Development Program. 4.2 As to the Hess site (Exhibit IIBII) the building signage and internal site signage shall be that set forth on the unifonn sign plan on file with the City, as' pages A-I (dated December 10, 1997) and Page CE-l (dated January 23, 1998) by Metsky-Zuckennan, Architects and PI~ers. WITNESSETH: WHEREAS, Robert Yeager, Trustee ("Yeager") and the City previously entered into a binding Developer's Agreement dated April 13, 1998 and recorded May 13, 1998 in Official Records Book 3424, Page 0611, of the Public Records of Seminole County, Florida (the "Original Developer's Agreement"), relating to certain real property located in Seminole County, Florida and more particularly described therein (the "Property"); and WHEREAS, Vistawilla purchased the Property from Yeager and is the current fee simple owner of the Property; and WHEREAS, Vistawilla and the City previously amended the Original Developer's Agreement pursuant to that certain First Modification of Developer's Agreement dated February 27, 2006 and recorded March 8, 2006 in Official Records Book 6151, Page 42 (the "First Modification"), and that certain Second Modification of Developer's Agreement dated June 12, 2006 and recorded June 27, 2006 in Official Records Book 6304, Page 36 (the "Second Modification"), and that certain Third Modification of Developer's Agreement dated December 18,2006 and recorded January 19,2007, in Official Records Book 6561, Page 0610 (the "Third 0082037\119619\1032365\1 Third Moditication to Developer's Agreement City of Winter Springs and Vistawilla Office Center, LLC - 1 - ""' "Third Modification"), all of the Public Records of Seminole County, Florida (the Original Developer's Agreement, the First Modification, the Second Modification and the Third Modification are hereinafter collectively referred to as the "Developer's Agreement"); and WHEREAS, Vistawilla has requested another amendment to the Developer's Agreement in order to modify certain site development requirements set forth therein; and WHEREAS, in furtherance of this request, the parties desire to amend the Developer's Agreement, all under the terms and conditions contained herein. NOW THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties mutually agree to amend the Developer's Agreement as follows: 1. Recitals; Capitalized Terms. The recitals set forth above are true and correct and are incorporated herein by this reference. Unless otherwise set forth herein, all capitalized terms utilized herein shall have the same meaning as set forth in the Developer's Agreement. 2. Construction of Wall. The City and Vistawilla acknowledge that Section 2.1 of the Original Developer's Agreement requires the construction of a six (6) foot masonry wall along the rear of the Property to provide a buffer between the intended commercial use and the adjacent residential use. Vistawilla has submitted plans for a "Viking Wall System" as more particularly depicted and described on Exhibit "A" attached hereto and incorporated herein by this reference (the "Viking Wall"), and the City hereby acknowledges and agrees that the Viking Wall shall satisfy the requirements for the construction of a wall as set forth in Sections 2.1, 3.3 and 3.4 of the Agreement. Vistawilla shall be responsible for maintaining the entire wall in good condition. 3. Effect of Amendment. All other terms and conditions of the Developer's Agreement, not in conflict with this Amendment, shall remain in full force and effect.
