SUBJECT: FDOT Agreement for City Manager Signature
Please find attached two originals of a Highway Landscape Construction and
Maintenance Memorandum of Agreement with FDOT. The City Commission authorized
entering into this Agreement at the April 8, 2013 City Commission meeting under
Consent item #202.
Please request the City Manager sign each agreement where indicated, attested by the
City Clerk, and return both originals to me. Please do not fill in the date at the top of the
first page of the agreement. I will forward the agreements to FDOT and then FDOT will
provide one,fully executed copy for the City.

RE: SR 434 —City of Winter Springs - Grandville
Highway Landscape Construction and Maintenance Memorandum of Agreement
Enclosed are two copies of the original of the HIGHWAY LANDSCAPE
CONSTRUCTION AND MAINTENANCE MEMORANDUM OF AGREEMENT, The
Agreement's Exhibit "A"— Landscape Plan(s), and Exhibit"B"—Landscape Maintenance
Plan., and Exhibit "C"—Work Zone Traffic Control Plans," with the actual plans are part of
and already attached to the Agreement.
Also enclosed is a sample cor)v of the Resolution for the City Council. Either a City
Resolution or copy of the City Council Minutes approving execution of the Agreement and
authorizing who will sign for the City must be provided. As per Brian Fields'e-mail, this
Resolution provides for the City Manager to execute the Agreement.
Please remind the City - Do not rill in the dateat the to of the first of tl
Agreement.
Please have the City execute each of the two original HIGHWAY LANDSCAPE
CONSTRUCTION AND MAINTENANCE MEMORANDUM OF AGREEMENT which
includes all its exhibits, and send both of them back including their I exhibits to you, along with
a copy of the City Commission Resolution regarding approval of the Agreement and who is
authorized to sign it. You can then send on all these documents to me here.
When the FDOT executes the HIGHWAY LANDSCAPE CONSTRUCTION AND
MAINTENANCE MEMORANDUM OF AGREEMENT,the FDOT will fill in the date at the
top of the Agreement. We will provide the City with a copy of the executed Agreement
including its exhibits for its records.

RESOLUTION NO.
A RESOLUTION OF THE CITY OF WINTER SPRINGS, FLORIDA,
AUTHORIZING EXECUTION OF THE HIGHWAY LANDSCAPE
CONSTRUCTION AND MAINTENANCE MEMORANDUM OF AGREEMENT
WITH THE FLORIDA DEPARTMENT OF TRANSPORTATION RELATING TO
S.R. 434 RIGHT-OF-WAY,AND PROVIDING FOR AN EFFECTIVE DATE
WHEREAS, the City of Winter Springs seeks to install and maintain certain landscaping
within the right of way of State Road 434; and
WHEREAS, the State of Florida Department of Transportation agrees only under certain
conditions and has requested the City of Winter Springs to execute and deliver to the State of
Florida Department of Transportation the HIGHWAY LANDSCAPE CONSTRUCTION
AND MAINTENANCE MEMORANDUM OF AGREEMENT (includes exhibits as part
thereof) for the aforesaid project; and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
OF WINTER SPRINGS,FLORIDA, that:
SECTION 1. — The City Commission hereby authorizes Kevin L. Smith, as the City
Manager of the City of Winter Springs to execute and deliver to the State of Florida Department of
Transportation the HIGHWAY LANDSCAPE CONSTRUCTION AND MAINTENANCE
MEMORANDUM OF AGREEMENT for the aforementioned project.
SECTION 2 - This Resolution shall take effect immediately upon its adoption.
PASSED AND DULY ADOPTED by the City Commission of the City of Winter Springs
this day of 2014.

A RESOLUTION OF THE CITY COMMISSION OF
WINTER SPRINGS, FLORIDA AUTHORIZING THE CITY
MANAGER TO ENTER INTO A HIGHWAY LANDSCAPE
CONSTRUCTION AND MAINTENANCE MEMORANDUM OF
AGREEMENT WITH THE FLORIDA DEPARTMENT OF
TRANSPORTATION INVOLVING S.R. 434 RIGHT-OF-WAY AT
THE GRANDEVILLE AT TOWN CENTER SITE, 1150 EAST S.R.
434; AND PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the Florida Department of Transportation (FDOT) has jurisdiction
over and maintains State Road 434 as part of the State Highway System; and
WHEREAS, the Florida Department of Transportation agrees under certain
conditions and has requested the City to execute and deliver to the Florida Department
of Transportation the HIGHWAY LANDSCAPE CONSTRUCTION AND MAINTENANCE
MEMORANDUM OF AGREEMENT (includes exhibits as part thereof) for the aforesaid
project;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF
WINTER SPRINGS, FLORIDA, AS FOLLOWS:
SECTION I — The City Commission of the City of Winter Springs hereby
authorizes the City Manager to enter into the HIGHWAY LANDSCAPE CONSTRUCTION
AND MAINTENANCE MEMORANDUM OF AGREEMENT (includes exhibits as part
thereof) between the Florida Department of Transportation and the City of Winter
Springs.
SECTION II — The City Clerk of the City of Winter Springs is hereby directed
to send copies of this Resolution and the executed Memorandum of Agreement to FDOT
and all other persons as directed by the Mayor and City Commission.
SECTION III - This Resolution shall take effect immediately upon adoption
by the City Commission.
